| The value of community sites depends upon users and the content posted by them. The objective of this program is to share the value created, with our user community and their schools. With this in mind, we are pleased to offer the two programs below, one of which has been created by our partner. |

| RAISE FUNDS |
 |
Insider Pages, a subsidiary of Citysearch, operating business of IAC (NASDAQ: IACI), has created a revolutionary online fundraising program enabling organizations to quickly raise money by writing online reviews of local businesses. Supporters simply write reviews on Insider Pages about businesses they use such as doctors, hairstylists, home contractors, or restaurants. For each review they write, Insider Pages makes a donation to your school.

Your school can raise thousands of dollars in as little as three weeks depending on the level of participation. Not only does this program take the hassle out of fundraising, it also provides the community with a rich source of customer referrals and tips that can be viewed by anyone for free. |

| WIN MONEY |
|
This program will recognize and reward registered users (parents, teachers and administrators) who have the greatest impact on network growth. The winner will be the user who invites and signs up the highest number of new SchoolParentNet users in a given period. The reward will be a contribution to the winning user's school. Some restrictions will apply:
- To be eligible as a weekly winner, a user must sign-up a minimum of 25 new users in that week
- Maximum wins by one user/school = 2 wins in a 4-week period
- SchoolParentNet employees are exempt

We intend to provide a $1000 reward/week and secure sponsors to fund this program. Users will get credit for all their sign-ups up to the first reward grant and following this, winners will be based on weekly sign-up results. Rewards will be mailed to winning users PTA/PTC/Parent's Club. The reward will be made in the name of the Sponsor and will also recognize the winning user. |

The reward is to be utilized by the PTA at their discretion. The funds can be incorporated in the budget or used for “fun” events such as PTA lunches, teacher birthday celebrations etc.
